2. These Terms of Service are the terms of provision of services by electronic means within the meaning of the Act of 18 July 2002 on the Provision of Services by Electronic Means.

3. Using the Service means accepting these Terms of Service. A User who does not accept the Terms of Service may not use the Service.

§ 2. Service Provider and contact

1. The Service Provider and owner of the Service is Arkeeno sp. z o.o., with its registered office at ul. b) for matters concerning personal data protection: rodo@arkeeno.com or privacy@arkeeno.com.

§ 3. Definitions

1. Service: the arkeeno application and website, together with their features.

2. User: a natural person, legal person or organisational unit using the Service under these Terms of Service; in particular the Designer and the Designer’s Client.

3. Designer: a User who creates an Account in order to manage design work, including an interior designer, a design studio or another entity providing design services.

4. Designer’s Client: a person to whom the Designer makes materials available (e.g. visualisations) so that they can review them, comment on them and ask questions; the Designer’s Client may use the Service without creating an Account (as a Guest) or after creating an Account.

5. Account: a separate set of resources and settings assigned to a User after registration.

6. Agreement: the agreement for the provision of services by electronic means concluded between the Service Provider and the User on the basis of these Terms of Service.

7. Plan: a variant of access to the Service’s features (the Free Plan or a Paid Plan) specified in the price list.

8. Consumer: a natural person performing a legal act that is not directly related to their business or professional activity.

9. Entrepreneur with consumer rights: a natural person concluding an agreement directly related to their business activity, where it follows from the content of that agreement that it is not of a professional nature for that person.

10. Content: any materials entered into the Service by the User (e.g. project data, photographs, descriptions, comments, client data).

§ 4. Type and scope of services

1. The Service is a tool for managing the work of an interior design studio, operating on a SaaS (software as a service) model.

2. Within the Service, the Service Provider makes available, in particular, the following features:
a) project and task management;
b) project budget management;
c) boards and workspaces (mood boards);
d) collecting comments and opinions from the Designer’s Client (feedback);
e) generating proposals;
f) a calendar and deadline management;
g) collaboration with the client and communication (chat);
h) customer relationship management (CRM);
i) creating pages with visualisations shared with the Designer’s Client;
j) features based on artificial intelligence, referred to in § 9.

3. The scope of features available to a given User depends on the selected Plan.

4. The Service Provider may develop the Service and add, change or withdraw individual features. Changes that materially and adversely affect access to services under a Paid Plan will be communicated in advance in accordance with § 16.

§ 5. Technical requirements

1. To use the Service, the following are required: a device with Internet access, a current version of a web browser that supports HTML5, JavaScript and cookies, and an active email address.

2. The Service Provider is not liable for unavailability of the Service resulting from causes beyond the Service Provider’s control, including the parameters of the User’s connection or device.

§ 6. Account and registration

1. An Account is registered by completing a form and confirming an email address (e.g. by means of an activation link). The Agreement is concluded upon activation of the Account.

2. The Designer’s Client may use the materials made available to them without creating an Account (as a Guest). In that case the Agreement concerns free access to the features necessary to review the materials and comment on them.

3. The User is obliged to provide true and current data and to protect their login details. The User is responsible for actions taken using their Account.

4. It is prohibited to share an Account with third parties and to create an Account using another person’s data without their consent.

§ 7. Plans, trial period and payments

1. The Service Provider makes the Service available under:
a) the Free Plan, with a limited scope of features, provided free of charge;
b) a Paid Plan, in a monthly or annual variant, with the full scope of features.

2. A new Designer may use a free trial period lasting 14 days, which does not require providing payment card details or any other payment instrument.

3. The trial period does not automatically convert into a Paid Plan. After it ends, access to paid features is suspended until a Paid Plan is purchased; the User may continue to use the Service within the scope of the Free Plan.

4. Prices and the scope of the Plans are set out in the price list available in the Service. Prices are stated unambiguously, together with information on whether they include VAT.

5. The fee for a Paid Plan is charged in advance for the selected billing period (a month or a year).

6. Payments are handled by an external payment operator: Stripe (Stripe Payments Europe, Ltd., Ireland). The Service Provider does not store the User’s full payment instrument details.

7. A subscription to a Paid Plan renews for the next billing period of the same length, unless the User cancels it.

8. The User may cancel the subscription at any time from within the Service. Cancellation means that the subscription will not renew for the next period; access to paid features remains active until the end of the paid billing period.

9. Subject to § 13 (right of withdrawal), the fee for a billing period that has begun is not refundable for the unused part of that period.

10. The Service Provider issues an invoice for a Paid Plan. The User provides the data necessary to issue the invoice and accepts that invoices are issued and sent in electronic form.

§ 8. Rules for using the Service

1. The User undertakes to use the Service in accordance with the law, the Terms of Service and good practice.

2. The following are prohibited:
a) supplying unlawful content, including content that infringes the rights of third parties;
b) taking actions that disrupt the operation of the Service or place a disproportionate load on its infrastructure (e.g. automated mass requests);
c) circumventing security measures, decompiling, or gaining unauthorised access to the data of other Users;
d) using the Service to send unsolicited commercial information.

3. In the event of a material breach of the Terms of Service, the Service Provider may call on the User to cease the breaches and, if they continue, suspend or delete the Account, in accordance with § 15.

§ 9. Features based on artificial intelligence

1. The Service provides features that use artificial intelligence models supplied by external providers, in particular:
a) processing and editing photographs uploaded by the User;
b) analysing notes on sales opportunities and generating summaries of them.

2. Content passed to AI features is processed by the providers named in the Privacy Policy. In line with the terms of use of their application programming interfaces (APIs), the content passed is not used to train those providers’ models.

3. Results generated by AI features are of an auxiliary nature and may be inaccurate. The User should verify their correctness before using them. The Service Provider does not guarantee any particular result from the operation of AI features.

4. The User is responsible for the content uploaded to AI features and undertakes not to submit special categories of data (e.g. health data) or content to which they do not hold the appropriate rights.

§ 10. User Content

1. The User retains all rights to the Content they enter.

2. The User grants the Service Provider a non-exclusive, royalty-free licence to use the Content solely to the extent necessary to provide the services (e.g. storage, display, technical processing, sharing with recipients indicated by the User, and passing to AI features at the User’s request).

3. The User declares that they hold the rights to the Content they enter and that its use in the Service does not infringe the rights of third parties.

4. Where the Designer enters their clients’ personal data into the Service, the Designer is the controller of that data and the Service Provider is the processor, on the terms set out in the Privacy Policy and in the data processing agreement.

§ 11. The Service Provider’s intellectual property

1. The Service, its software, interface, trademarks and other elements are the property of the Service Provider or of third parties and are protected by law.

2. The Agreement does not transfer to the User any intellectual property rights in the Service, other than the right to use it in accordance with the Terms of Service and the selected Plan.

§ 12. Availability and liability

1. The Service Provider endeavours to keep the Service continuously available, subject to technical and maintenance interruptions.

2. The Service Provider provides the services with due care. In relation to a User who is a Consumer or an Entrepreneur with consumer rights, the Service Provider’s liability is governed by the provisions of law, including the provisions on the conformity of a digital service with the contract; the provisions of the Terms of Service do not apply to the extent that they would limit the rights of those persons in a prohibited manner.

3. In relation to a User who is neither a Consumer nor an Entrepreneur with consumer rights:
a) the Service Provider’s liability under the Agreement is limited to actual damage and is excluded in respect of lost profits;
b) the Service Provider’s total liability does not exceed the sum of the fees paid by the User in the 12 months preceding the event giving rise to the claim;
c) liability is excluded for the effects of the operation of AI features and for loss of data, to the extent that it resulted from the User’s actions.

4. The limitations of liability do not apply to damage caused intentionally or in other cases in which liability cannot be excluded under the law.

§ 13. Right of withdrawal from the Agreement

1. A User who is a Consumer or an Entrepreneur with consumer rights may withdraw from the Agreement within 14 days of its conclusion, without giving a reason, by submitting a statement (e.g. to the address support@arkeeno.com).

2. If the User purchases a Paid Plan and requests that the service begin before the withdrawal period expires, they submit an express request to begin performance and acknowledge that they will lose the right of withdrawal once the Service Provider has fully performed the service.

3. If the User withdraws from the Agreement after submitting a request to begin performance and before the service has been fully performed, they will pay for the services performed up to the time of withdrawal, in proportion to the scope of the service provided.

4. Use of the Free Plan and of the trial period is free of charge, and the User may give them up at any time by deleting the Account.

§ 14. Complaints

1. Complaints concerning the operation of the Service may be submitted to the address support@arkeeno.com, stating the User’s details and a description of the irregularity.

2. The Service Provider will consider a complaint within 14 days of receiving it and will inform the User of the outcome at the User’s email address.

3. A Consumer may use out-of-court complaint handling and redress mechanisms, including the ODR platform available at https://ec.europa.eu/consumers/odr.

§ 15. Duration and termination of the Agreement

1. The Agreement is concluded for an indefinite period.

2. The User may terminate the Agreement at any time by deleting the Account. Termination of the Agreement does not affect the right to use the Paid Plan until the end of the paid period, unless the User requests earlier deletion of the Account.

3. The Service Provider may terminate the Agreement with 14 days’ notice for important reasons, in particular in the event of a material breach of the Terms of Service, after an earlier unsuccessful call to cease the breaches.

4. After termination of the Agreement, the User’s data is deleted or retained in accordance with the Privacy Policy. The User should first download any Content that matters to them.

§ 16. Changes to the Terms of Service

1. The Service Provider may amend the Terms of Service for important reasons, in particular a change in legislation, a change in the scope of services or security considerations.

2. The Service Provider will inform Users who hold an Account of a change to the Terms of Service at least 14 days in advance, at their email address or in the Service.

3. If the User does not accept the changes, they may terminate the Agreement before the date on which the changes take effect. Continued use of the Service after that date means acceptance of the changes.

§ 17. Governing law and disputes

1. The Agreement is governed by Polish law, subject to mandatory provisions protecting the Consumer in the country of their habitual residence.

2. Disputes with a User who is not a Consumer are resolved by the court competent for the Service Provider’s registered office.

3. Disputes with a Consumer are resolved by the courts competent in accordance with the provisions of law.

§ 18. Final provisions
